We reserve the right to modify, update, or discontinue any of our services at any time without prior notice.

3. Eligibility

To access or use our services, you must be:

  • An individual of legal age and legal capacity, or
  • A company or legal entity represented by an authorized individual

We reserve the right to deny service to anyone for any lawful reason at our sole discretion.

4. Account Registration

To use certain features of our website or to purchase services, you must create an account.

By registering an account, you agree that:

  • All registration information provided is truthful, complete, and up to date
  • You are solely responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account

Each service engagement may involve specific deliverables, timelines, scope, and fees, which are outlined in a written proposal, invoice, or communication agreed upon by both parties.

6. Client Responsibilities

You agree to:

  • Cooperate fully with our team during the duration of the project
  • Provide accurate and complete information, including content, branding, and access credentials
  • Review deliverables in a timely manner
  • Pay all agreed-upon fees promptly
  • Ensure that the materials you provide (images, text, data) do not violate any third-party rights

Failure to cooperate may result in delays, additional fees, or project suspension.

7. Payments and Billing

All services must be paid for as per the terms stated in the proposal or invoice.

Payment Terms:

  • Prices are provided in INR or USD, unless otherwise specified
  • Payment must be made via accepted methods, such as Razorpay, bank transfer, UPI, or other gateways supported by us
  • Work will begin only after an agreed deposit or Payment of minimal fee.
  • For ongoing services, payment must be made on a recurring basis as scheduled (monthly, quarterly, etc.)

Late Payments:

  • Invoices overdue by more than 7 days may result in project suspension
  • Continued non-payment may result in service termination and legal action

All payments are non-refundable unless otherwise specified in writing.

8. Intellectual Property Rights

Unless otherwise agreed:

  • UperBit retains all intellectual property rights to any tools, frameworks, or pre-existing code used in development
  • Upon full payment, the final product created specifically for you (themes, layouts, configurations) is transferred to your ownership
  • Any third-party licenses (e.g., fonts, plugins, software) remain under their original license terms
  • You may not resell, sublicense, or republish our code or materials unless explicitly authorized

You retain ownership of any content, trademarks, and branding you provide to us for use in the project.

9. Use of the Website

You agree not to:

  • Use the website for any unlawful purpose
  • Upload malicious code, spam, or unauthorized commercial content
  • Attempt to gain unauthorized access to our systems or data
  • Impersonate any person or entity
  • Engage in scraping, crawling, or data harvesting without permission

We reserve the right to suspend or block access to the website for users who violate these rules.

10. Confidentiality

All information exchanged between you and UperBitUper Bit in the context of a project or inquiry will be treated as confidential, including:

  • Business ideas
  • User data
  • Technical information
  • Access credentials
  • Project details

We will not disclose confidential information to third parties unless required by law or explicitly authorized by you.

11. Third-Party Services and Tools

Our services may include the integration of or reliance on third-party tools or platforms, such as:

  • Payment gateways (e.g., Razorpay)
  • CMS platforms (WordPress, Shopify, etc.)
  • Analytics (Google Analytics)

While we choose reliable providers, we are not responsible for outages, data breaches, or limitations originating from those third-party services.

You agree to comply with the terms of service of those third-party providers.

12. Service Availability and Downtime

While we strive to keep our website and services available 24/7, we cannot guarantee uninterrupted access.

Scheduled maintenance, server issues, third-party outages, or unforeseen circumstances may cause temporary downtime.

We are not liable for any losses, damages, or missed opportunities resulting from downtime or technical issues.

13. Termination

We reserve the right to terminate or suspend your account or service access:

  • If you violate these Terms
  • If you fail to make required payments
  • If your conduct is harmful to UperBit or other clients
  • If required by law

You may terminate your account at any time by contacting us. All outstanding payments must be settled upon termination.

Upon termination:

  • You lose access to your UperBit account and services
  • Your files may be archived or deleted after a retention period
  • We are not obligated to store or return your data after service ends

14. Disclaimers

All services are provided on an "as is" and "as available" basis. While we take every step to ensure quality, uptime, and security, we make no warranties, express or implied, including but not limited to:

  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability of information
  • Performance or uptime guarantees

You use our website and services at your own risk.

15. Limitation of Liability

To the fullest extent permitted by law, UperBit shall not be liable for:

Our total liability, in any case, will not exceed the amount paid by you to UperBit within the last 3 months.
